Terms of Service

Draft template. This document is a starting point modeled on Kabana's actual data flows (BYOA, Stripe billing, GitHub OAuth). Have a lawyer review and edit it for your jurisdiction before treating it as binding.

These Terms govern your use of Kabana ("the Service"), operated by the Kabana team ("we", "us"). By creating an account, you agree to these Terms. If you do not agree, do not use the Service.

1. The service

Kabana is a multi-tenant kanban tool for software teams. We host the web UI, the API, and the database. We do not run the AI agents that act on your code. Instead, you install the kabana CLI on your own machine (BYOA, "bring your own agent"), connect it with an API token, and the CLI runs the agent locally against your repository under your own AI provider account (Anthropic, OpenAI, etc.).

We never receive a copy of your source code, never proxy your AI provider calls, and never see the contents of files outside what you explicitly post into a card description or message. See the Privacy Policy for the full data inventory.

2. Accounts

You must provide a valid email and choose a password of at least 8 characters. You are responsible for keeping your password and your API tokens confidential. Notify us immediately if you suspect a token or account has been compromised.

You may delete your account at any time from the account settings page. Deletion cancels your subscription, removes all of your boards, cards, messages, and tokens, and is irreversible.

3. Subscriptions and billing

Kabana is paid from day one. There is no free tier. The current plan is shown on the pricing page on the home page. Subscriptions are processed by Stripe; we do not store your card details.

Subscriptions renew automatically each billing period unless cancelled. You can cancel from the billing portal at any time. Cancellation takes effect at the end of the current period; we do not refund partial periods unless required by law.

If a payment fails or your subscription lapses, the Service may stop accepting new mutations and your CLI may stop receiving cards. Your data is retained for a reasonable window so you can reactivate, after which we may delete it.

You retain ownership of everything you put into the Service: card titles, descriptions, messages, briefs, and the GitHub repos you connect. By using the Service, you grant us a limited, non-exclusive license to store and process that content for the purpose of operating the Service.

You are responsible for the lawfulness of the content you store. Do not upload personal data of others without a lawful basis, do not store secrets in cards, and do not put content into Kabana that you do not have the right to put there.

6. AI providers and GitHub

Kabana integrates with third-party providers that you connect under your own accounts. When the agent runs, your CLI reads from your AI provider account. When you connect GitHub, we store an OAuth access token to list repos and act on the pull requests you approve. Their terms and privacy policies apply when you use their services through us. We are not responsible for outages, billing, or data handling on those providers.

7. No warranty

The Service is provided "as is". We make no warranty that it will be uninterrupted, error-free, or suit any particular purpose. In particular: AI agents make mistakes, your CLI runs on your machine and we cannot guarantee it will not delete files or push commits you did not intend, and integrations with third parties can fail in ways outside our control. Review every change before merging.

8. Limitation of liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or relating to the Service is limited to the amount you paid us in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or lost data.

9. Termination

You may terminate at any time by deleting your account. We may suspend or terminate your account if you violate these Terms or if your subscription lapses. We will give you reasonable notice and a chance to export your data unless we believe immediate action is needed to protect the Service or other users.

10. Changes

We may update these Terms. The "Last updated" date above reflects the latest change. Material changes will be announced via the changelog or a direct email when we have one for you. Continued use after a change is acceptance of the updated Terms.
